The wind complex acquired from FIP IEER – the equity investment fund responsible for investments in CER - Companhia de Energias Renováveis, located in Bahia State, with an installed capacity of 303 MW and an exceptional wind incidence
Press ReleaseOmega Geração (OMGE3), one of the leading renewable energy companies in Brazil, announces today the signing of a binding agreement to acquire 100% of the Assuruá Wind Complex ("Assuruá Complex"), located in the interior of Bahia State, from FIP IEER. In addition, the parties signed today a right of first offer (“ROFO”) agreement where Omega will have the right to acquire projects to be developed in the region with up to 2,000 MW in potential expansion, including a 50 MW project under construction which is expected to start operations in March 2019. The purchase price for the Assuruá acquisition was estimated at R$ 1.9 billion and the transaction is subject to usual closing conditions, including approval by the Brazilian antitrust authority (CADE), financing disbursement and creditor’s consent.
Assuruá Complex has an installed capacity of 303 MW and is composed by 13 wind farms that awarded the 2013 and 2014 Reserve Energy Auctions (LER), with commercial operation date (COD) started in April 2016 and February 2018, respectively.
With this 303 MW acquisition, in addition to Delta 5 and Delta 6 wind complexes, expected for the beginning of 2019, Omega will exceed 1GW of operating capacity. Antonio Augusto Torres de Bastos Filho, Omega’s CEO, said: "Assuruá Complex became 100% operational earlier this year and, on this date, we concluded the transaction disclosed since our IPO in 2017. In addition to the high technical asset quality and the excellent wind incidence in the region, the ROFO agreement provides us a new and important source of growth for the coming years”.
Out of the 131 wind turbines of the complex, 82 units are from GE and 49 from Siemens Gamesa, partners that reinforce the quality of the project and with which Omega already has established a trust relationship and an operational model in place. The complex, already in operation, has 138 MW average of volume sold, of which 33.6 MW average were traded in the 2013 Reserve Energy Auction and 104.4 MW average in the 2014 Reserve Energy Auction.
This is the third Omega’s acquisition since its Initial Public Offering, in July 2017. In December last year, the Company acquired 100% of the Delta 3 wind complex with an installed capacity of 220.8 MW, located in Maranhão State, in a transaction of R$ 1.97 billion.
Furthermore, it is the second acquisition from a developer other than Omega Desenvolvimento. The first, announced in August 2018 and completed in December 2018 for a total price of R$ 1.1 billion, marked the Company's entry in the solar power generation, with the acquisition of 50% of the Pirapora Solar Complex, in Minas Gerais State, the largest photovoltaic power complex in Brazil, with an installed capacity of 321 MW.

About Assuruá Complex
Located in the city of Gentio do Ouro, Bahia State, the complex consists of 13 wind plants, totaling 303 MW of installed capacity and is 100% operational. The projects were awarded a 20-year PPA following ANEEL Auctions (LER - Reserve Energy Auctions) carried out in 2013 and 2014 and started commercial operation in April 2016 and February 2018, respectively. The 13 plants are composed by 131 wind turbines, 49 produced by Siemens Gamesa and 82 by GE, with full-service O&M contracts.
