In compliance with CVM Instruction 358/02, Petrobras reports that its Board of Directors held a meeting today and approved the incorporation of Petrobras Logística de Gás S.A. (“LOGIGÁS”).

The incorporation aims at simplifying and optimizing the corporate structure of the Petrobras Group. This is an incorporation of a wholly owned subsidiary, therefore there will be no capital increase in Petrobras or issuance of new shares. Shares representing LOGIGÁS’ shareholding capital will be extinguished, with the required ledger booking held at Petrobras.

The transaction is still under approval by the General Shareholders' Meeting of Petrobras, to be called in due course.
